Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SlamCDN platform, including all related services, APIs, and documentation (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of Service

SlamCDN provides content delivery network services, including but not limited to content caching, static asset hosting, origin shielding, DDoS mitigation, DNS management, and related infrastructure services. The specific features available to you depend on your selected plan.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with our Acceptable Use Policy. You shall not:

• Use the Service to distribute malware, viruses, or other harmful software
• Use the Service for phishing, fraud, or any deceptive practices
• Distribute content that infringes on any third party's intellectual property rights
• Use the Service to host or distribute illegal content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Resell the Service without prior written authorization
• Use the Service in a manner that degrades performance for other users

5. Service Level Agreement

The Service is provided subject to our Service Level Agreement, which sets forth our uptime commitment and the remedies available to you in the event we fail to meet those commitments. The SLA is incorporated into these Terms by reference.

6. Payment Terms

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. We reserve the right to change pricing with 30 days' written notice. Bandwidth overages are billed at your plan's per-GB overage rate at the end of each billing cycle. Failure to pay outstanding invoices within 15 days may result in service suspension.

7. Content Ownership & License

You retain all ownership rights in the content you upload to or deliver through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to cache, copy, and transmit Your Content solely for the purpose of providing the Service. This license terminates when you remove Your Content or close your account.

8. Intellectual Property

The Service, including its design, code, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of SlamCDN and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

9. Data Processing

To the extent that we process personal data on your behalf in connection with the Service, we do so as a data processor acting on your instructions. Our processing of such data is governed by our Privacy Policy and any applicable data processing agreement.

10. Suspension & Termination

We may suspend or terminate your access to the Service immediately and without notice if: (a) you breach these Terms or the Acceptable Use Policy; (b) your account has outstanding unpaid invoices for more than 30 days; (c) we are required to do so by law; or (d) we determine in our sole discretion that your use of the Service poses a risk to the Service, other users, or third parties.

You may terminate your account at any time through the account settings or by contacting support. Upon termination, your right to use the Service ceases immediately, and we may delete your data after a 30-day grace period.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SLAMCDN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100.00 USD), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless SlamCDN and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

15. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

16. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force. Our failure to enforce any right or provision shall not constitute a waiver. These Terms, together with the Privacy Policy, Acceptable Use Policy, and SLA, constitute the entire agreement between you and SlamCDN regarding the Service.
